Terms of Service

By accessing or using Uyiwa Network (“Uyiwa,” “we,” “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the service. You may contact us at hello@uyiwa.com.

Uyiwa is a mutual visibility network for service businesses. Members install a JavaScript widget on their website. The widget rotates other members' businesses on your site, and your business appears on theirs. Rotation is limited to complementary businesses — no two members in the same subcategory will be placed next to each other.

You must:

• Be a legitimately operating service business with a publicly accessible website
• Have authority to agree to these Terms on behalf of that business
• Be 18 years of age or older
• Not be prohibited from using the service under applicable law

Your widget must remain installed and active on your website for as long as you are a member. This is not a recommendation — it is the mechanic that makes the network work for everyone in it.

Widget installed = you are in rotation. Your business appears on your group partners' sites. Theirs appears on yours.

Widget removed = you exit the rotation immediately. Your business is removed from all partner sites the moment we detect the widget is gone. Your subscription continues to bill until you cancel it separately.

We check widget status periodically. Members who remove their widget while maintaining an active subscription may have their account suspended without refund.

Uyiwa charges a recurring monthly subscription fee. The specific amount is shown at the time of purchase and may vary depending on the group and whether founding pricing applies.

Founding rate: the first 30 members in a group may qualify for a reduced “founding rate,” which is locked for as long as their widget remains installed and their subscription active. This rate is lost upon cancellation.

Payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's terms of service.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer partial-period refunds.

Upon cancellation, your widget will stop functioning at the end of the billing period, and your business will exit the rotation. Your group spot is returned to the pool.

You agree not to:

• Misrepresent your business type or subcategory at signup
• Use the service to display misleading, fraudulent, or illegal business information
• Attempt to manipulate the rotation system or impersonate other members
• Interfere with or disrupt the Uyiwa infrastructure or widget API
• Use the service in violation of any applicable law

The Uyiwa widget code, platform, brand, and all associated intellectual property remain the property of Uyiwa Network. You are granted a limited, non-exclusive, revocable licence to use the widget on your website solely in connection with your active membership.

The service is provided “as is” without warranties of any kind. We do not guarantee any specific number of impressions, clicks, or new clients resulting from your participation. The 5,184 figure referenced in our marketing represents a theoretical maximum based on group size and rotation schedule, not a guarantee.

To the maximum extent permitted by law, Uyiwa Network shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, clients, or business opportunity, arising from your use of or inability to use the service.

Our total liability for any claim arising from these Terms shall not exceed the total amount you paid to us in the 12 months preceding the claim.

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms other members or the network. In cases of termination for cause, refunds are at our sole discretion.

These terms apply to Uyiwa Partners — individuals or organisations who promote Uyiwa to their community and earn commission on resulting subscriptions.

Commission. Partners earn a percentage of net subscription revenue (after payment processing fees) generated by members who joined through their unique partner link. Commission rates are tiered by group fill level and are shown in the Partner Portal. Rates are subject to change with 30 days' written notice.

Payouts. Commission is paid monthly via the payout method on file (Cash App, Zelle, bank transfer, or other agreed method). Uyiwa makes reasonable efforts to issue payouts on time but does not guarantee specific payment dates. Partners are responsible for any taxes arising from commission income.

Accurate representation. Partners must represent Uyiwa honestly and accurately to their communities. Partners may not make guarantees about earnings, impressions, or outcomes that go beyond what Uyiwa publishes. Misleading promotional claims may result in immediate termination of partner status.

No employment or agency. The partner relationship is independent. Partners are not employees, contractors, agents, or legal representatives of Uyiwa. Partners have no authority to bind Uyiwa to any obligation or agreement.

Commission on cancellations. Commission is only earned on active, paid subscriptions. If a member cancels or their subscription lapses, commission for that member stops. Uyiwa has no obligation to maintain a minimum commission level or to compensate partners for member churn.

Termination of partner status. Uyiwa may suspend or terminate a partner's account at any time for misrepresentation, fraudulent referrals, or conduct harmful to the network or its members. Accrued unpaid commission will be forfeited upon termination for cause.

Limitation of liability for partners. Uyiwa is not liable for any loss of expected commission arising from changes to pricing, tier structure, or product features, or from the cancellation of members introduced by the partner.

We may update these Terms from time to time. We will notify active members by email at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the United States. Any disputes will be resolved in the courts of applicable jurisdiction. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
